1. Acceptance of Terms

By accessing or using SkillDepot ("the Platform"), you confirm that you are at least 18 years old, have read and understood these Terms of Service, and agree to be bound by them. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

We may update these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

2. Your Account

You are responsible for maintaining the security of your account credentials. SkillDepot is not liable for any loss or damage from unauthorized access to your account.

You may not share your API keys publicly, impersonate others, or create multiple accounts to circumvent restrictions. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Publishing Skills

By publishing a skill on SkillDepot, you confirm that:

• You own or have the rights to all content in the skill. • The skill does not contain malicious code, exploits, or content that violates applicable laws. • The skill's description, tags, and metadata are accurate and not misleading. • You accept responsibility for all claims, damages, or issues arising from your skill.

SkillDepot reserves the right to remove any skill without notice if it violates these Terms, our Content Policy, or is determined to be harmful.

4. Marketplace & Pricing

Skills may be listed as free or paid. For paid skills:

• Creators set their own price. • SkillDepot retains a 20% platform fee on all transactions. • Creators receive 80% of each sale's net amount. • Pro subscribers ($29/month) gain access to all skills in the library without individual purchases. Revenue is distributed proportionally to creators based on usage.

SkillDepot does not guarantee any minimum earnings. Prices are in USD. Refunds for digital purchases are at SkillDepot's discretion and handled case-by-case.

5. API Usage

API access is subject to rate limits based on your subscription plan. You may not:

• Reverse engineer or redistribute our API infrastructure. • Use the API to bypass payment requirements. • Share your API keys with third parties outside your organization. • Use the API to scrape, harvest, or aggregate skill content for competing services.

We reserve the right to revoke API access at any time for abuse.

6. Affiliate Program

Participants in the affiliate program agree to promote SkillDepot honestly and not engage in spam, false advertising, or self-referrals. Commissions are paid for genuine referrals only. SkillDepot reserves the right to withhold commission payments if fraudulent activity is detected. Payouts require a minimum $20 balance and are processed monthly.

7. Intellectual Property

SkillDepot does not claim ownership of the skills you publish. You retain all intellectual property rights. By publishing, you grant SkillDepot a non-exclusive, worldwide, royalty-free license to display, distribute, and deliver your skill through the Platform.

The SkillDepot brand, platform code, and design are protected by copyright and trademark law. You may not use our name, logo, or assets without written permission.

8. Limitation of Liability

SkillDepot is provided "as is" without warranties of any kind. To the maximum extent permitted by law, SkillDepot shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

Our total liability to you for any claim shall not exceed the greater of (a) the total fees you paid to SkillDepot in the 12 months preceding the claim, or (b) $100.

9. Termination

You may close your account at any time from Dashboard → Settings. SkillDepot may suspend or terminate your access for violations of these Terms, extended inactivity, or at our sole discretion.

Upon termination, your published skills will be removed from the public marketplace. Earned but unpaid balances above the minimum payout threshold will be paid in the next regular payout cycle.

10. Governing Law

These Terms are governed by the laws of the jurisdiction in which SkillDepot operates. Any disputes will be resolved through binding arbitration, except for injunctive relief which may be sought in any court of competent jurisdiction.
